# Introduction

Unich Network is a blockchain network built around a single conviction: that technology should actively contribute to human freedom. Not freedom as an abstract ideal, but freedom in practice - the financial capacity to be self-reliant, the ability to build relationships that open real doors, and the right to own the value you create.

Web2 platforms made a trade-off that users never agreed to: your data, your behavior, and your social graph generate billions in advertising revenue for the platform while you walk away with nothing. Web3 promised to change that, but most projects ended up shifting the problem rather than solving it, distributing coins for actions that cost almost nothing to perform, and in some cases, nothing at all.

Unich Network takes a different approach entirely. Here, every User owns a Node. The Node is what produces value inside the network, and the value it produces is **Freedom Coin (FC)** — mined by the Node itself through real human activity.

The core logic is straightforward: Users own Nodes, Nodes produce FC. Users do not receive FC directly for actions. Instead, every activity a User performs: **Peer Meet, Network Expansion, Trust Circle, Anchor Node, Knowledge Proof** - upgrades the Node's Mining Rate. A better-upgraded Node mines FC faster. This is a fundamentally different design from conventional tap-to-earn projects, where coins are handed out in exchange for each individual action.

This document covers why Unich Network exists and what problem it solves (Section 1), the core principles that govern how it operates (Section 2), the technical architecture (Sections 3 and 4), and the economic model behind Freedom Coin (Section 5). Section 6 addresses the founding team's accountability to past commitments. Sections 7 and 8 cover governance and legal compliance. Section 9 positions Unich Network in its competitive landscape and closes with a final statement of intent.

# Vision

The mission of Unich Network is to apply blockchain technology to contribute to human freedom. *Catch Your Freedom* is an operational commitment: to empower individuals, communities, and society through advancing freedom — in finance, in relationships, in data ownership, and in the right to own value created by oneself.

Freedom in everyday life depends on infrastructure. A person with ideals of freedom but without a mechanism to turn daily effort into accumulated value, without a way to expand opportunity through real relationships, and without ownership of personal data — that freedom remains a concept. Unich Network is built to provide that infrastructure layer.

The mission of Unich Network is to **apply blockchain technology to contribute to human freedom**. The slogan *Catch Your Freedom* is an operational commitment: to empower individuals, communities, and society through advancing freedom - in finance, in relationships, in data ownership, and in the right to own value created by oneself.

Freedom in everyday life depends on infrastructure. A person may hold ideals of freedom, but without a mechanism to turn daily effort into accumulated value, without a way to expand opportunity through authentic relationships, and without ownership of their own data, that freedom remains abstract. Unich Network is built to provide that foundational layer.

# The Problem: The Gap of Our Era

Freedom is constrained by invisible barriers: **social norms**, **status and background**, **religion and institutional structures**, **geographic distance**. The internet has removed some of them, but has not solved the core problem: **turning connections into economic value that belongs to the very people who created those connections**.

<figure><img src="/files/u1icKiqR3STpQaFUAcu5" alt=""><figcaption></figcaption></figure>

In Web2, participants generate real value: data, behavior, relationships but that value belongs to the platform in the form of advertising revenue. The accurate description: **users are not customers; users are the product**.

Web3 promised to fix this, but most projects merely shift the problem. Coins are issued for near-zero-cost actions — pressing a button, answering a question. When the cost of action is zero, virtual machines can replicate without limit. Pi Network proved what people want (mining from a phone), but also proved what can never work: zero cost equals zero value.

**The real gap: no network yet exists that is trustworthy enough to turn real human action into real accumulated value, fairly and sustainably.**

# The Solution: User → Node → FC

**The Ownership and Production Chain**

The network operates on a three-layer chain:

> #### <mark style="color:$warning;">**User**</mark> → <mark style="color:$info;">\[owns]</mark> → <mark style="color:$warning;">**Node**</mark> → <mark style="color:$info;">\[produces]</mark> → <mark style="color:$warning;">**FC**</mark>

A **User** is an individual participating in the network — a real person with a verified identity. A **Node** is a digital asset owned by the User, held with a private key in the User's wallet, and possessing a **Mining Rate** — the rate at which FC is produced per unit of time. **FC** is the Node's output — not "distributed" to the User, but produced by the Node that belongs to the User.

#### **FC - An Immutable Asset**

**FC follows three immutable principles:**

* **First: There is only one path to creating FC: the Node's mining activity.**\
  No airdrops, no manual issuance, no mechanism to create FC outside of mining. Every unit of FC has a clear origin: produced by a specific Node over a specific period of time.
* **Second: FC balances are immutable to any external intervention**\
  No organization — Unich Network included — can increase, decrease, freeze, confiscate, or falsify the FC balance of any Node. Balances change only when the Node's owner executes a legitimate transaction.
* **Third: FC cannot be bought, sold, or acquired through market channels within the network.**\
  FC transfers ownership only through internal transactions between Nodes. The only way to accumulate more FC is to own a Node, operate it, and upgrade its Mining Rate through real activity.

These three principles create a distinctive asset: **FC cannot be accumulated through capital, only through real activity.** A person with $1,000,000 and a person with $0 both start with the same base Mining Rate when creating a new Node.

**User Activity Upgrades the Node — Not Directly FC**

This is the core difference from tap-to-earn networks. In the old model, pressing a button and receiving a coin directly leads to virtual machines faking activity and coins losing value.

In Unich Network, no User activity directly creates FC. Instead, each activity is a form of **Node upgrade**: raising the Mining Rate, or adding a Boost Multiplier to the Node for a period of time. The difference between "being paid for an action" and "investing action to upgrade a productive asset."

**Why This Model Cannot Be Faked**

Virtual machines can press buttons and fake activity sessions. But virtual machines cannot perform a **Peer Meet** which requires two real people to be present at the same location at the same time, GPS-verified by an independent third party. This is the **physical anchor point** that tap-to-earn networks have never had.

# Long-Term Vision

Unich Network envisions a future where human freedom is no longer constrained by invisible barriers. Freedom is reinforced through **financial autonomy** (Users own Nodes - their own productive assets) and through **expanding opportunity via meaningful connections**.

Success is not measured by screen interactions or coin price at any given moment, but by **the degree to which Users genuinely improve financial autonomy through their Nodes, expand real opportunity, and reduce isolation**. Five-year goal: expand to more than 100 million Nodes globally.

<figure><img src="/files/8UiOMSTrS6narPbAyc8i" alt=""><figcaption></figcaption></figure>

# Core Principles

This section presents the immutable principles governing how Unich Network operates — **a set of operational commitments the founding team binds itself to**. When there is conflict between a convenient feature and a core principle, the principle holds. When there is conflict between short-term growth and a core principle, the principle holds.

# Seven Operating Principles

* **Principle 1 - Real action upgrades the Node; it does not directly create FC.** All verified activity upgrades Mining Rate, and the Node automatically produces FC according to that rate.
* **Principle 2 - Users own their Node; the Node owns its own history.** Node data belongs to the User. Value created by the Node is distributed to the User. The network does not sell Node data or exploit Nodes as an advertising revenue source.
* **Principle 3 - FC is an asset, not a reward.** FC is not described, distributed, or perceived as a reward, bonus, prize, or gift. FC is the Node's output — a foundational asset produced through mining.
* **Principle 4 - Transparency in mechanisms, silence on outcomes.** All mechanisms, formulas, and terms are publicly disclosed. But the network makes no promises about FC price, profits, or the timing of any market event.
* **Principle 5 - Accountability is a binding constraint, not voluntary.** Every commitment of the founding team comes with a self-enforced penalty mechanism if not fulfilled correctly.
* **Principle 6 - Sustainable growth over fast growth.** One real Node, upgraded through real activity, mining sustainably for many years is worth more than 100 virtual Nodes operating short-term.
* **Principle 7 - The right to leave is a core right.** Users may exit the network at any time, taking their Node and data with them. No locking mechanism, no barrier to exit.

# The User-Node Model vs. the User-Only Model

In the **User-only model** (most Web2 and most current Web3), the platform interacts directly with the User. Users work, Users receive rewards. This creates two problems: virtual machines can fake "working" at near-zero cost, and the User-platform relationship is a one-way transaction — the User accumulates no productive asset beyond a coin balance that may go to zero.

In **Unich Network's User-Node model**, Users own Nodes, and Nodes are the units that participate in the network. When a User performs an activity, the Node is upgraded, and the Node mines FC according to its upgraded Mining Rate. Three consequences: virtual machines cannot upgrade Nodes (because they cannot perform Peer Meet), Users have a genuine accumulated asset, and the User-network relationship is symmetric and two-directional.

# Why Principles Matter More Than Features

A project with many features and no principles, when facing market pressure, will change its features — usually in the direction of reducing value for Users to increase value for shareholders. A project with core principles will change how it executes but will keep its commitments to Users. Unich Network chooses the second path.

# System Architecture

Unich Network is built on a two-layer architecture: **the economic layer (Blockchain Layer)** and **the social layer (Social Layer)**, connected through a single anti-fraud verification mechanism: Peer Meet.

# Two Layers, One Network

**Blockchain Layer** deploys the mining mechanism and Boost Multipliers for each Node. Each Node has its own Mining Rate stored on-chain. All transactions — FC produced, FC transferred between Nodes, Boost Multipliers applied — are recorded in an irreversible ledger.

**Social Layer** uses an intelligent matching algorithm similar to modern dating applications, but extended to cover many types of connection: friendship, dating, professional networking, and business collaboration. The purpose is not to keep Users on the app, but to **push Users out to perform Peer Meets in the real world**.

An important link: **Mining Rate is only upgraded when interaction on the Social Layer has converted into a verified Peer Meet in the physical world.** Virtual machines can fake activity on the Social Layer, but cannot fake a Peer Meet.

# The Three-Step Process:

{% stepper %}
{% step %}

### **Find Node.**

Users browse other Nodes based on geographic location, shared interests, and networking goals.
{% endstep %}

{% step %}

### **Verified Peer.**

A Verified Peer is established when two Users mutually express interest (two-way consent). Only when two Users are Verified Peers may they message each other and arrange a Peer Meet.
{% endstep %}

{% step %}

### **Peer Meet.**

The real meeting in the physical world. Once verified, both Nodes receive a Boost Multiplier that accelerates FC production for the duration of its validity.
{% endstep %}
{% endstepper %}

# Peer Meet and Location Verification

**Process:** one party generates a QR code from the app; the other scans it. The system verifies that both Nodes are at the same geographic location at the same time. If successful, the Peer Meet is recorded and both Nodes have their Mining Rates upgraded.

Important to emphasize: **Peer Meet does not "deliver" FC to the two Users.** Peer Meet is a verification event confirming both Nodes are real Nodes, from which the Mining Rate is upgraded. FC produced afterward is a natural result, not a reward handed over after the meeting.

This mechanism prevents fraud (a Peer Meet cannot be faked without both parties being at the same location), creates reliable data on a Node's Trust Circle, and establishes a transparent foundation for the entire economy.

# Mining and Node Upgrade Mechanism

# Base Mining Rate and the Halving Mechanism

Each Node has a fundamental attribute: Base Mining Rate - the speed at which FC is generated per unit of time. The base Mining Rate of a newly created Node depends on the total number of Nodes in the network at the time of creation, following a pre-programmed halving mechanism.\
\
**Node-Count-Based Halving Mechanism**\
\
Similar to Bitcoin's halving mechanism but based on the number of Nodes in the network rather than block height, the base Mining Rate of new Nodes is halved when the network reaches the following milestones:

| Network Node Count | Base Mining Rate |
| ------------------------ | --------------------------- |
| 0 → 8 million            | 1 FC per day                |
| 8 million → 80 million   | 0.5 FC per day              |
| 80 million → 800 million | 0.25 FC per day             |
| Above 800 million        | 0 FC per day (subsidy ends) |

<figure><img src="/files/YbMyLqN0bYuRU8XqU99V" alt=""><figcaption></figcaption></figure>

***

Three important consequences:

**First:** Nodes joining earlier have a higher base Mining Rate. This is how the network recognizes the contribution of Users who participate when risk is greatest and trust matters most.

**Second:** FC supply decreases with network scale, ensuring total supply is not infinite. When the network reaches 800 million Nodes, the base Mining Rate reaches zero and only Boost Multipliers from activity remain.

**Third:** The mechanism is fully automatic and cannot be intervened. The founding team has no authority to change halving milestones, delay halving, or increase base Mining Rate after halving has occurred.

*The Block Subsidy Protocol is designed to grow sustainably alongside the community.*\
\
Because every Boost Multiplier, from Peer Meet, Trust Circle, Node Activation, Top Contributors Ranking, the Node Tier System, and the other mechanisms, accumulates into the value B in the mining formula, a Node that is active and consistent can reach a Mining Rate many times its Base Mining Rate. But every multiplier comes from real human activity and every multiplier expires. There is no shortcut through capital or through virtual machines.

# General Mining Formula

The actual Mining Rate of a Node at any given time is:

$$
∑FC = R₀ × (1 + B) + R
$$

Where:

* **R₀** — Base Mining Rate at the time of Node creation (1, 0.5, 0.25, or 0 FC/day depending on halving milestone)
* **B** — Total Mining Rate accumulated from Peer Meet, Trust Circle, Anchor Node, Knowledge Proof
* **R** — Additional FC from Network Expansion

The Mining Rate (**B**) is a cumulative positive value from multiple sources, accelerating FC production during its validity window, it does not directly add FC to the Node. \
\
*Example: a Node with R₀ = 1 and B = 2.25 → Mining Rate = 1 × (1 + 2.25) = **3.25 FC/day**.*

***

#### Mining Session

Mining does not run automatically. Users must activate a **24-hour Mining Session** by opening the app and pressing the mine button. During 24 hours, the Node produces FC continuously at its current Mining Rate. If no new session is activated, the Node pauses - all FC already produced remains with the User.

# Mining Session

During 24 hours, the Node produces FC continuously at its current Mining Rate. If no new session is activated, the Node pauses - all FC already produced remains with the User.

# Node Upgrade Activities

There are many valid activities to upgrade a Node. All follow a common principle: **Boost Multipliers are time-limited multipliers applied to Mining Rate, not FC added directly to the account**.

Node-upgrade activities fall into two groups. The first group is the core connection activities: Peer Meet, Trust Circle, Network Expansion, Anchor Node, and Knowledge Proof (Sections 4.4.1 to 4.4.5). The second group is three additional upgrade mechanisms that run in parallel and stack with the first group: Node Activation, Top Contributors Ranking, and the Node Tier System (Sections 4.4.6 to 4.4.8). Every Boost Multiplier from every mechanism accumulates into the value B in the mining formula in Section 4.2.

# Peer Meet

The central activity. Boost Multipliers operate across two cycles.

**First meeting in a cycle:** +50% Boost Multiplier lasting 7 days.

**Repeated Peer Meet within the same cycle:** +25% Boost Multiplier valid for 24 hours (each Peer Meet must be at least 24 hours apart).

Total Boost from Peer Meet can reach 75% on the day of the meeting. When the 7-day cycle ends, the two Users may immediately perform a new Peer Meet to activate the next cycle.

# Trust Circle

A mechanism allowing a small group of up to 5 Users to collectively upgrade Mining Rate through group Peer Meet activity. The Boost Multiplier is calculated based on **the total number of Peer Meets by members in the past 24 hours**:

| Peer Meets in 24 hours | Boost Multiplier |
| ---------------------- | ---------------- |
| 1/5                    | +10%             |
| 2/5                    | +20%             |
| 3/5                    | +30%             |
| 4/5                    | +40%             |
| ≥ 5/5                  | +100%            |

Each User automatically creates their own Trust Circle and becomes its leader. Each User may join up to 100 other Trust Circles. Total Boost Multiplier from all Trust Circles is capped at a maximum of 100%.

# Network Expansion

The activity of inviting new Users to register a Node. When a new Node registers via a referral link: the referring Node receives **5 FC locked**, and the referred Node receives **10 FC locked**. FC unlocks only when the referred Node completes its first Peer Meet. This is the anti-abuse mechanism — fake accounts cannot be created to collect FC.

In Standard Mode, the referring Node receives **50% of the Mining Rate the referred Node achieves through Peer Meet**, plus **10% of the Mining Rate each time the referred Node activates a 24-hour Mining Session**.

Nodes that meet eligibility criteria may switch to Revenue Share Mode: receiving 30% of their direct referral network's revenue in USDT or bank transfer, in exchange for a 40% reduction in total Mining Rate. Qualifying Nodes may switch between Standard Mode and Revenue Share Mode once per month.

# Anchor Node

The activity for Users committed to building local community — equivalent to the Ambassador role. An Anchor Node is a trust point for its region. Details on mechanism, tiers, and benefits are in the separate **Ambassador Program** document. Anchor Nodes have long-term Boost Multipliers that scale with their achieved tier.

# Knowledge Proof

The mechanism for upgrading a Node by demonstrating understanding of the network. Each Knowledge Proof is a set of questions covering core principles, the mining mechanism, or related information. Completing a Knowledge Proof earns a time-limited Boost Multiplier. A network where every User understands the mechanism is harder to manipulate, harder to destabilize with rumors, and harder to defraud.

# Node Activation

Node Activation is a set of one-time initiation steps for new Nodes. Each step, once completed, activates a Boost Multiplier valid for 30 days, stacking with each other and with the other upgrade mechanisms. The purpose of Node Activation is to guide a new Node through the full basic lifecycle of the network, from setting up a profile to the first Peer Meet.\
\
Five initiation steps, each performed only once:

<table><thead><tr><th width="210.28515625">Initiation step</th><th width="329.6328125">Meaning</th><th>Boost Multiplier</th></tr></thead><tbody><tr><td>Create Profile</td><td>Complete the Node profile: avatar, at least 3 album photos, including at least 1 verified photo showing the User's face</td><td>+5% (30 days)</td></tr><tr><td>First Find Node</td><td>Browse for another Node for the first time</td><td>+2% (30 days)</td></tr><tr><td>First Mutual Interest</td><td>The first time both sides express interest</td><td>+3% (30 days)</td></tr><tr><td>First Message</td><td>Send the first message to a Verified Peer</td><td>+3% (30 days)</td></tr><tr><td>First Peer Meet</td><td>The first Peer Meet, both sides GPS-verified through a QR scan</td><td>+15% (30 days)</td></tr></tbody></table>

Completing all five steps gives a total Boost Multiplier of up to **+28%**, valid for 30 days. The First Peer Meet step carries the highest multiplier (+15%) because a real in-person meeting is the highest-cost and hardest-to-fake action.

**Human Presence Verification is mandatory.** If a Node does not complete the Create Profile step, specifically verifying at least one photo showing the User's face, the FC produced by that Node is **not recognized in the network and has no transaction value.** The Node can still mine, but its FC only becomes valid after verification is complete. This is another layer of protection against fake Nodes: a network that accepts only value created by real humans.

A distinction to note: the +15% multiplier from the First Peer Meet step belongs to Node Activation and is triggered only once, for the first Peer Meet in the Node's lifetime. It is independent of, and stacks with, the recurring Peer Meet multiplier described in Section 4.4.1.

# Top Contributors Ranking

Top Contributors Ranking ranks Nodes by their level of contribution in each cycle. A Node with a high rank at the end of a cycle receives a Boost Multiplier for the next cycle. The mechanism runs two independent cycles in parallel: weekly and monthly.

Contribution is measured in Contribution Points, accumulated from the number of distinct Nodes you interact with during a cycle. Each Node counts only once per cycle, no matter how many times you interact. Points are calculated as follows:

<table><thead><tr><th width="496.73828125">Interaction type</th><th>Contribution Points</th></tr></thead><tbody><tr><td>Peer Meet (both GPS-verified)</td><td>+10 points / Node</td></tr><tr><td>Substantive message exchange (both sides message)</td><td>+2 points / Node</td></tr><tr><td>Mutual Interest (first time in the cycle)</td><td>+1 point / Node</td></tr></tbody></table>

One important point: a message exchange only earns points when both sides genuinely take part, not when one side keeps messaging while the other stays silent. This rule keeps points tied to real connection, not spam behavior.

Contribution Points are used only for ranking. They do not add directly to the Mining Rate. Points do not carry over between cycles; at the start of each new cycle, the counter returns to its baseline. The Mining Rate is upgraded indirectly, through the Boost Multiplier granted by end-of-cycle rank:

| End-of-cycle rank  | Boost Multiplier (next cycle) |
| ------------------ | ----------------------------- |
| Top 1              | +500%                         |
| Top 2-10           | +300%                         |
| Top 11-100         | +150%                         |
| Top 101-1,000      | +75%                          |
| Top 1,001-5,000    | +30%                          |
| Top 5,001-10,000   | +15%                          |
| Outside Top 10,000 | None                          |

The Boost Multiplier applies only to the next cycle, then disappears if the Node does not hold its rank. If a Node ranks in both the weekly and the monthly leaderboards, the network applies the higher multiplier, not the sum. This mechanism rewards steady contribution: to keep a high multiplier, a Node must keep creating real connections every cycle.

Example: A Node finishes the week in the Top 800 by completing many Peer Meets with different Nodes. The following week, that Node operates with a +75% Boost Multiplier added to its mining formula. If the Node does not stay active the next week and drops out of the Top 1,000, the +75% multiplier is gone in the cycle after that.

# Node Tier System

The Node Tier System classifies Nodes by their level of sustained activity, measured on a monthly cycle. A Node that reaches a higher tier receives a Boost Multiplier in the following month. Unlike the ordinal ranking in Section 4.4.7, a Node's tier reflects whether it maintains a stable level of contribution over time.

There are six tiers, based on the same Contribution Points calculation as Top Contributors Ranking (monthly cycle only):

| Tier | Boost Multiplier (next month) |
| -------------- | ----------------------------- |
| Base (default) | None                          |
| Bronze         | +10%                          |
| Silver         | +20%                          |
| Gold           | +35%                          |
| Platinum       | +60%                          |
| Diamond        | +100%                         |

The core difference of the tier system is its **retention mechanism**, designed to encourage sustained activity rather than short bursts. At the end of each month, the network checks a Node's contribution against the threshold of its current tier:

* Meets or exceeds the threshold: keeps the tier, or moves up if eligible.
* Reaches from half to nearly the full threshold: keeps the current tier. The network does not demote a Node just for one slower month.
* Falls below half the threshold: the streak protection mechanism below applies.

**Streak Protection.** A Node that holds the same tier for three consecutive months or more is granted a protective buffer. If the Node later has one low-contribution month, this buffer is used to keep the tier, counting as a single exemption. Only if the Node keeps contributing little the following month, with no buffer left, does the tier drop by one level. A demotion always lowers the tier by only one level at a time, never several.

*Example: A Node reaches Gold for three consecutive months and is granted a protective buffer. In the fourth month the Node is busy and its contribution drops: the buffer is used, and the Node keeps Gold. In the fifth month the Node still has not returned to steady activity: with no buffer left, the Node drops to Silver. Once the Node contributes enough to meet the Gold threshold again in a single month, it returns to Gold and starts building its streak from the beginning.*

The philosophy of the Node Tier System: a Node active steadily for years is worth more than a Node that flares up and vanishes. The retention mechanism protects loyal Users from being penalized for one period of rest, while still requiring real contribution to keep the advantage.

# Freenomics

The Economic Model of Freedom Coin

Freedom Coin (FC) is the native coin of Unich Network, designed to recognize and distribute value for meaningful contributions to the ecosystem. It is a common asset accepted and used by the community itself throughout the entire Unich Network ecosystem.

FC is created from real-world social activities and distributed in a decentralized manner as relationships are built and networks are expanded, thereby creating a direct link between FC's value and the network's utility value.

The design of FC in the Unich Network is built on one core principle: **the supply of FC should directly reflect how much users participate and the value they create within the network**.

Unlike coins with a fixed supply (such as Bitcoin) or a pre-defined supply (such as Ethereum), Unich Network uses a flexible supply model, where the amount of FC created depends directly on user participation.

This approach allows the system to automatically adjust FC issuance based on real user activity and contributions in the network, rather than relying on a pre-set supply like traditional models.

# FC — The Network's Asset

FC is the foundational asset of Unich Network, following the three immutable principles established in Section 1.3: only created through Node mining activity, balances immutable to any external intervention, and not buyable or sellable through market channels within the network.

Three core purposes of FC: **recognizing participation** (FC turns Users into owners of a productive asset); **empowering Users** (a Node that produces FC steadily over time is the User's own digital asset); and **freedom economics** (value created through real activity, owned by the creator, exchanged voluntarily between Users).

# Supply Design Philosophy

FC supply must directly reflect the level of participation and value the network generates. Unlike Bitcoin - a fixed supply of 21 million, issued on a predetermined halving schedule independent of adoption. Unich Network combines **flexible supply tied to the network** with the [**Node-count-based halving mechanism**](/unich-network/mining-and-node-upgrade-mechanism/base-mining-rate-and-the-halving-mechanism)

The logic: when a Peer Meet is verified, value is created for two Users (a real relationship) and for the network (a trusted connection added). Upgrading both Nodes' Mining Rates directly reflects real development. The more real connections the network has, the more FC is produced; the more stagnant the network, the slower FC is produced. The halving mechanism ensures total supply is not infinite — when the network reaches 800 million Nodes, the base Mining Rate reaches zero.

# Two Revenue Distribution Mechanisms

The network has two independent mechanisms for distributing revenue from advertising and subscriptions. The two mechanisms apply on different bases and are presented separately to avoid confusion.

***

**Buy-back Program**

Unich Network commits **30% of total revenue from advertising and subscriptions** to buying back FC from the open market **after FC TGE**. Before TGE, this 30% accumulates in a reserve fund, ready to deploy the moment TGE occurs. Buy-back creates real demand for FC from real revenue — every Node holding FC benefits indirectly through buying pressure on the market.

**Network Revenue Sharing**

Network Revenue Sharing allows qualifying Nodes to directly receive **30% of the revenue contributed by their directly referred Nodes** through subscriptions and advertising. Payment is in **USDT or bank transfer** — not FC. In exchange, the Node accepts a **40% reduction in total Mining Rate** during participation.

***

**Eligibility - must meet both simultaneously:**

* Minimum **100 directly referred Nodes** in Network Expansion
* Achieved **Anchor Node status (level 3 in the Ambassador Program)**

This filter ensures Network Revenue Sharing applies only to Nodes with proven, long-term, verifiable contributions. **Direct level only (Level 1)** — no mechanism to receive from Level 2 or beyond, distinguishing this from traditional multi-level models. Qualifying Nodes may switch between Standard Mode and Revenue Share Mode **once per month**.

***

**Separation Between the Two Mechanisms**

The Buy-back Program draws from the **total shared revenue pool**, applies to all Nodes holding FC, and activates after TGE. Network Revenue Sharing draws from **the revenue of a specific Anchor Node's directly referred Nodes**, applies to qualifying Nodes, and activates as soon as revenue exists. Revenue received through Network Revenue Sharing is removed from the shared pool before Buy-back percentages are applied. No double counting.

**Example** (total monthly revenue $10,000, of which $2,000 comes from Anchor X's directly referred Nodes in Revenue Share Mode):\
\
***Payment to Anchor X:** 30% × $2,000 = **$600** (USDT / bank transfer)*\
***Remaining pool:** $10,000 − $600 = **$9,400***\
***Buy-back (after TGE):** 30% × $9,400 = **$2,820***\
***Remaining for operations:** $9,400 − $2,820 = **$6,580***

# FC in Practice

Currently, FC accumulates inside the app with a set of internal use cases. Over time, use cases expand in response to the community's real needs.

The network makes no promises about what price FC will reach, and no promises about the timing of any market event. What the network commits to is the mechanism: FC is only ever created through Node mining, balances are immutable, 30% of revenue goes toward buying back FC after TGE, and every rule governing mining and Boost Multipliers is published and verifiable. The outcome depends on the actions of the community over time.

# Freedom Coin Overview

FC represents a share of ownership and participation in the network, allocated based on the level of user engagement. Every time a user completes a meaningful activity such as meeting a new person, maintaining a relationship, or expanding their network through referrals, they receive FC.

The primary purposes of FC are:

* **Recognizing participation**: FC is FC is a way for the system to recognize that a user is creating real value for the network. Unlike traditional platforms where users are the product, FC turns users into owners who own a piece of the network and its benefits.
* **Empowering users**: FC is a way for users to empower themselves. When FC is converted to an on-chain coin after TGE, it will have real market value. Those who have accumulated FC through active participation will become foundational coin holders of the network.
* **Freedom economy**: FC is designed to create a freedom economy where FC value is operated primarily based on the community's freedom. As the network grows, the value of these connections also increases.

*After TGE, FC will be converted to an official on-chain coin. Users will be able to trade, stake, and use FC for various purposes within the ecosystem.*

# Tokenomics Design Philosophy

Unich Network's FC model is built on a core principle: **FC supply must directly reflect the level of participation and value that users create in the network.**

Unlike coins with fixed supply (like Bitcoin) or predetermined supply (like Ethereum), Unich Network uses a flexible supply model where the amount of FC created depends directly on user participation levels.

**Benefits Of The Flexible Supply Approach**

When a user completes a verified meeting, not only is value created for them individually in the form of a new relationship, but the network simultaneously gains value through an additional connection. By issuing FC tied to each such meeting, the system directly reflects the actual development level of the network.

When the number of participants is limited, the rate of supply increase is slow. Conversely, when many users participate actively, FC supply increases faster, but this increase corresponds to a healthier and more richly connected network.

This approach solves a core limitation of many traditional digital assets: the misalignment between issuance rate and actual value created. With Bitcoin, halving events occur on a fixed schedule, independent of adoption levels or usage frequency. In contrast, with FC, supply is flexibly adjusted based on actual network demand and activity.

# Core Value

Although FC is currently only accumulated within the app, its value will be formed through a series of mechanisms as Unich Network develops and FC is converted to on-chain.

**Network Growth & Metcalfe's Law**

FC's foundational value is determined by the scale and health of the Unich Network. According to Metcalfe's Law, a network's value increases by the square of the number of participating users. When Unich Network's active user count doubles, the overall network value could theoretically quadruple.

Because FC represents a share of the Unich Network, each FC's value will increase in parallel with network expansion. Early participants who accumulate FC through active contributions will be the group that directly benefits from this growth process.

* **Revenue buyback program**: 40% of Unich Network’s revenue will be allocated to buying back FC from the market. This approach creates sustained demand for FC and links its value directly to real economic activity within the network.
* **Adoption level and scarcity**: As Unich Network achieves widespread adoption, demand for FC will increase from various sources, including participants in network governance, those who lock FC to support distribution mechanisms, and other economic activities in the ecosystem.
* **Network effect and ecosystem expansion**: As Unich Network becomes an open social infrastructure, third-party developers can build applications and services on this platform. These applications can integrate FC into their systems, thereby expanding use cases and increasing value for the entire ecosystem.
* **Alignment in incentive mechanisms**: FC is designed to create interest alignment between holders and the overall network health. FC owners are encouraged to contribute to Unich Network's development through governance activities, such as voting on system improvement proposals, and network security guarantee mechanisms.

# Utility

FC provides three core utilities within the Unich Network:

* **Participation & commitment**: FC allows users to show their level of participation and long-term commitment to the Unich Network through mechanisms such as staking or token locking. Holding and using FC expands access to dApps, programs, and opportunities across the ecosystem, while linking individual participation to the network’s sustainable growth.
* **Governance**: FC serves as the governance token of the Unich Network. Each FC represents voting power, allowing holders to propose and vote on decisions related to the network’s direction, policies, and resource allocation. This enables committed individuals and communities to take part directly in shaping the network’s development.
* **Ecosystem incentives & long-term growth**: FC is the foundation for incentive mechanisms across the Unich Network ecosystem. These resources are used to encourage behaviors that create long-term value, including attracting and supporting developers, maintaining high-quality interactions, and building a strong, lasting community.

# User-Based Halving Mechanism

To ensure that the value of Freedom Coin (FC) grows in line with the expansion of the network, Unich Network applies a **User-Based Halving** Mechanism or **Scale-Based Scarcity** Mechanism. Unlike Bitcoin, which reduces supply over time, Unich Network uses user milestones as the key metric. This approach ensures that asset scarcity always evolves together with real market adoption. This model directly affects the **Base Earning Rate**.

<figure><img src="/files/YbMyLqN0bYuRU8XqU99V" alt=""><figcaption></figcaption></figure>

The base earning rate gradually decreases as the community grows through different stages. This creates a significant advantage for **early adopters** - users who believed in and contributed to the network from its earliest days.

Specifically, the Base Earning Rate reduction schedule is fixed as follows:

| **Members**              | **Base Earning Rate** (FC/day) |
| ------------------------ | ------------------------------ |
| 0 – 8 million            | 1 FC/day                       |
| 8 million – 80 million   | 0.5 FC/day                     |
| 80 million – 800 million | 0.25 FC/day                    |
| > 800 million            | 0 FC/day                       |

**Economic Impact**

* **Protection of early participants’ benefits**: This mechanism clearly quantifies the value of early participation. Users who join when the network is still small can accumulate value at twice the rate of later stages, and up to four times faster compared to when the network reaches large scale. This fairly rewards early contributors who helped build the foundation and trigger network effects.
* **Increasing scarcity as the network scales**: As the community expands, access to and accumulation of FC becomes increasingly limited, helping control supply dilution during periods of rapid user growth. Once the network reaches 800 million users, the Base Earning mechanism will be fully locked. From that point onward, FC supply from Base Earning will be permanently capped, meaning no new FC will be issued through the standard mechanism, reinforcing FC as a highly scarce asset.
* **Encouraging active contribution**: As the Base Earning Rate decreases with network scale, users who want to maintain their expected accumulation rate must optimize other parts of the value distribution mechanism. This drives a shift in behavior from passive interaction to more active and meaningful participation.

In summary, reducing the Base Earning Rate does not weaken user incentives. Instead, it shifts user behavior from **passive check-ins** **to active engagement**, improving the overall quality and real value of the Unich Network.

# Conversion Ratio

To ensure ecosystem continuity and preserve the value of user contributions during the transition phase, Unich Network implements a conversion mechanism from the FD Point system of the legacy Unich platform to Freedom Coin (FC) in the new product.

FD Point was the reward point system used in the previous version of Unich. Upon migrating to Unich Network, all existing FD Points will be converted into FC at the following fixed ratio:

**100 FD Point = 1 FC**

The conversion process will be carried out in the near future, concurrently with the official launch of Unich Network. The detailed timeline will be publicly announced through Unich Network’s official communication channels to ensure users are informed in a timely manner.

This conversion mechanism is designed with the principle of fully preserving the rights and interests of users who have accompanied Unich since its early days. Each FD Point represents the contributions made by users, and the conversion into FC serves as Unich Network’s way of recognizing and honoring those contributions within the new system.

# KYC Requirements

Unich Network is built on a foundational principle: every Node in the network represents a real, verified human being. The entire value of the network — the integrity of Peer Meet verification, the trustworthiness of Trust Circle data, the legitimacy of Network Expansion, depends on this. KYC is the mechanism that enforces it at scale.

**KYC is required to make FC available at TGE.** FC accumulated before TGE remains pending until the Node's owner completes identity verification. This applies without exception. A Node that has not completed KYC cannot convert pending FC to available FC at TGE, regardless of how much activity the Node has performed.

This is not a punitive measure. It is the same logic as the Peer Meet physical anchor: the network only assigns value to activity it can verify as real.

# The Principle Behind Every Case

Every case follows the same logic: FC is only as valid as the activity that produced it, and activity is only valid when both Nodes involved are verified real people. A Peer Meet between two verified Nodes produces real value. A Peer Meet where one party is unverified produces nothing the network can stand behind.

Circumventing this — through fake accounts, bot activity, or coordinated non-KYC Nodes — does not just harm the network. It directly undermines the value of every Node that participates honestly. Acting against the network's integrity is acting against the freedom of every other Node in it.

# Pending FC — Specific Cases

FC generated through the following activity types remains pending until the relevant KYC conditions are met:<br>

1. &#x20;**Mining from a non-KYC Node.** FC mined by a Node whose owner has not completed KYC remains pending. \
   → Complete KYC to make your mined FC available.<br>
2. **Meets with non-KYC Nodes.** FC accumulated through Peer Meet Mining Rate with non-KYC Nodes remains pending. \
   → Complete Peer Meets with KYC-verified Nodes to ensure your FC available.<br>
3. **Meet with an Anchor Node.** FC accumulated through the Mining Rate received when meeting an Ambassador remains pending if either Node has not completed KYC.\
   → Complete Peer Meets with KYC-verified Ambassador to ensure your mined FC available.<br>
4. **Network Expansion — referred Nodes without KYC.** FC from Network Expansion activity linked to non-KYC referred Nodes remains pending. \
   → Encourage your referred Nodes to complete KYC.<br>
5. **Network Expansion — referred Nodes meeting non-KYC Nodes.** FC accumulated when a referred Node completes a Peer Meet with a non-KYC Node remains pending. \
   → Guide your referred Nodes to meet only with KYC-verified Nodes.<br>
6. **Trust Circle with non-KYC members.** Mining Rate generated through a Trust Circle that includes non-KYC members remain pending.\
   → All members of a Trust Circle should be KYC-verified.<br>
7. **Trust Circle members meeting non-KYC Nodes.** FC accumulated when a Trust Circle member completes a Peer Meet with a non-KYC Node remains pending.\
   → Remind members to complete Peer Meets with KYC-verified Nodes only.<br>
8. **Anchor Node activity involving non-KYC Nodes.** FC accumulated through the Anchor Node Badge remains pending if the Ambassador has not completed KYC.\
   → Complete KYC to make your FC available at TGE.

# Founding Team Accountability

Accountability is an **immutable principle of the network, not a choice**. Every commitment the founding team makes comes with a pre-defined self-enforced consequence if not honored correctly. This is what separates a promise from a binding obligation.

# The Decision to Cancel the UN Coin TGE

In August 2025, Unich Network conducted an IDO for the UN coin. Following an internal review, the team concluded that **the UN coin architecture did not meet integrity review standards** — not for technical reasons, but because the distribution mechanism and original economic model were inconsistent with the core principles.

Two paths were available: proceed with TGE as planned and let the market sort it out (easier on communications, transfers all risk to IDO participants), or cancel TGE and return capital with a self-binding commitment, rebuilding as Freedom Coin. The team chose the second path. The decision was publicly announced in April 2026.

# The 120% Refund Mechanism

Every IDO participant has two options:

**Option 1: Convert UN to FC.** Rate: 10 UN = 1 FC. Unlocks 100% at FC TGE, with no vesting schedule applied.

**Option 2: 120% Refund.** Each User receives 120% of invested capital (100% principal + 20% compensation), returned in the same asset used to participate — SOL for SOL investors, USDT for USDT investors, ETH for ETH investors.

The 120% refund is distributed in three batches:

| Batch   | Amount | Timeline                                       |
| ------- | ------ | ---------------------------------------------- |
| Batch 1 | 30%    | 3 months after all Users complete registration |
| Batch 2 | 40%    | 3 months after Batch 1                         |
| Batch 3 | 50%    | 3 months after Batch 2                         |

The registration window stays open for a maximum of 4 months. If a User does not complete registration by the deadline, Option 2 applies automatically — no User is left without a path forward.

# The Self-Enforced Penalty Mechanism

Every missed batch deadline triggers an automatic 10% addition to the next batch:

* If Batch 1 is missed, Batch 2 becomes **50%** instead of 40%.
* If both Batch 1 and Batch 2 are missed, Batch 3 increases by an additional **20%**.

The penalty is self-applied — no request or complaint from participants required. This mechanism places the refund risk entirely on Unich's side, not the User's.

# The Accountability Template for All Future Commitments

The 120% refund mechanism and the 10% penalty clause are not specific to the UN event — they are the **template for every future commitment** the founding team makes.

Whenever the team announces a commitment, one of two things must be true: either it comes with a self-enforced penalty mechanism if not honored, or it is clearly labeled as an intention, not a binding commitment. There is no in-between.

The lesson from UN: the team made commitments about a token mechanism before it had been fully reviewed for consistency with core principles. Going forward, every commitment is checked against the seven principles in Section 2 before being made public.

# Network Governance

# Three Governance Layers

**Layer 1 — Core Principles (Immutable).** The seven principles in Section 2 and the three immutable FC principles in Section 1.3 are **non-modifiable**. The founding team binds itself not to change, re-vote, or create exceptions — for any reason.

**Layer 2 — Operational Parameters (Adjustable).** Technical parameters such as specific Boost Multiplier values and mechanism trigger thresholds may be adjusted over time, consistent with Layer 1, and publicly disclosed before any changes take effect. The halving milestones in Section 4.1 and the 30% buy-back commitment belong to Layer 1, not Layer 2.

**Layer 3 — Product Features.** UI, Find Node algorithm, Peer Meet verification flow — continuously developed in response to user feedback and technical requirements.

# Change Proposal Process

For changes at Layer 2 and significant changes at Layer 3, Unich Network applies a four-step process:

1. **Public proposal** — the change is submitted openly for community review.
2. **Public review period** — minimum 14 days for minor changes, 30 days for major changes.
3. **Layer 1 consistency check** — any proposal that conflicts with Layer 1 is rejected, independent of votes or level of support.
4. **Implementation or rejection** — the outcome is announced publicly with documented reasoning, regardless of the result.

# Protection Against Centralization

**FC ownership distribution.** All FC is produced through Node mining — not centralized allocation. Who holds the most FC reflects who contributed the most real activity, not who invested the most capital at the start.

**Geographic distribution of Anchor Nodes.** Each region has its own Anchor Node structure. No Anchor Node has authority beyond its own region; no cross-regional override mechanism exists.

**Limits on founding team authority.** The team holds governance rights over Layer 2 and Layer 3. It has no authority to intervene in Layer 1, and no ability to alter the FC balance of any Node.

# The Role of the Community

The community plays three roles in how the governance structure functions.

**Monitoring** is the first. Because every founding team commitment comes with a self-enforced consequence, community oversight is the primary accountability mechanism — no petition or complaint needed; penalties are automatic. What the community provides is visibility.

**Proposing improvements** is the second. The Layer 2 and Layer 3 change proposal process is open to community input. Users can initiate proposals, participate in the public review period, and challenge changes that conflict with Layer 1 principles.

**Protecting the core** is the third. If a proposed change is inconsistent with Layer 1, any community member can flag it. A Layer 1 conflict is grounds for rejection, independent of how much support the proposal has otherwise gathered.

# Legal Compliance and Data Protection

Unich Network is operated by **Unich Global**, headquartered in Singapore, Seychelles, and Lithuania. In Lithuania (an EU member state), Unich Global operates with appropriate licensing, positioning the network to expand across Europe and globally within the EU legal framework.

# Regulatory Context

**European Region.** GDPR sets strict requirements on personal data processing and privacy. DSA requires social platforms to bear greater responsibility for content. The MiCA framework applies to digital assets within the EU.

**North American Region.** The FTC has authority over consumer privacy protection. California has enacted CCPA; CPRA strengthens data control rights.

**Asia-Pacific Region.** Singapore has a clear legal framework for blockchain. Japan and South Korea have implemented data protection regulations comparable to GDPR.

# Compliance Strategy

**Compliance by design.** Data is collected only as necessary for operations (profiles, location verification for Peer Meet). Not shared with third parties for advertising purposes.

**Transparency in processing.** Users have the right to view stored data, request deletion or export at any time, consistent with GDPR and CCPA.

**KYC and AML.** Applied to high-value transactions, conducted by independent service providers to international standards.

**Cooperation with regulators.** Information is provided when legally required; valid legal orders are complied with.

# Data Protection and Privacy

The foundational principle: **User data is not sold to any third party.** Location data is collected solely to verify Peer Meet — not stored long-term after verification, encrypted in transit and at rest.

Users have the right to request full data export, deletion of personal data, and opt-out from third-party sharing.

Unich Network's economic model is based on FC and Node mining — not data sales — eliminating the fundamental conflict of interest between User privacy and network profit.

# Competitive Context and Closing Statement

Most projects fall into two groups: tap-to-earn mining projects (Pi Network, Notcoin), and traditional social networking applications. Both groups leave six structural gaps that Unich Network is built to address.

# Six Structural Problems in the Current Market

Most projects fall into two groups: tap-to-earn mining projects (Pi Network, Notcoin), and traditional social networking applications. Both groups leave six structural gaps:

* **Problem 1: Zero-cost action equals zero value.** Pressing a button or watching an ad costs near-zero for both humans and virtual machines. Unich Network addresses this through Peer Meet — requiring two real people in the physical world, GPS-verified by an independent third party.
* **Problem 2: Fundraising models without real revenue.** Unich Network addresses this through a commitment to use 30% of advertising and subscription revenue to buy back FC after TGE.
* **Problem 3: Listing the token before utility exists.** Unich Network only TGEs when FC has real utility Users actually use, revenue has reached sufficient scale for buy-back to impact the market, and network density has reached a level where virtual machines cannot outperform real Nodes.
* **Problem 4: Unsustainable economic models after TGE.** Unich Network applies flexible supply tied to the network combined with Node-count-based halving, plus FC consumption mechanisms through internal usage.
* **Problem 5: Insufficient network density to absorb a listing.** Unich Network only TGEs when genuine Node density is sufficiently broad.
* **Problem 6: Accountability without binding mechanisms.** Unich Network addresses this through an immutable mechanism: every commitment comes with a self-enforced penalty clause. The 120% refund program with 10% penalty per missed tranche is the first demonstration.

# Structural Differentiators

* **Differentiator 1: The User-Node-FC model** instead of direct User-Coin. Creates accumulated assets on the User side (an upgraded Node), not just a coin balance that can go to zero.
* **Differentiator 2: Physical anchor through GPS-verified Peer Meet.** The physical characteristics of the real world are integrated into the digital network.
* **Differentiator 3: Three-layer FC immutability.** FC only produced from Nodes, balances immutable, cannot be bought or sold through internal markets. An asset that cannot be accumulated through capital — only through real activity.
* **Differentiator 4: Immutable accountability.** Every commitment comes with a self-enforced penalty mechanism. Legal binding terms, not communications.

# Development Roadmap

The roadmap is organized into three phases, not tied to specific years — each phase only transitions when the network health conditions of the current phase are met.

**Phase 1: Building the Foundation**

Three product pillars built simultaneously:

* **User Path** — optimize the mining mechanism, Boost Multipliers, and Node upgrade activities. Goal: Users operate Nodes effectively without needing blockchain technical knowledge.
* **Mastery Path** — an advanced financial and blockchain education program. Completing lessons earns Boost Multipliers from Knowledge Proof. Knowledge is a form of Node upgrade — not technical knowledge, but the capability of the Node's owner.
* **Ambassador Path** — the roadmap to becoming an Anchor Node and building local community.

What Users gain: stable Node mining; long-term Trust Circles through real Peer Meets; upgraded financial knowledge through Mastery Path; UN IDO participants have the option to convert to FC or receive the 120% refund.

***

**Phase 2 — Network Expansion and FC Utility**

When the network reaches sufficient stable Node density: Anchor Nodes expand into new regions; advertising and premium subscription revenue grows; FC use cases expand through internal transactions and premium features.

What Users gain: FC has concrete use cases before TGE; Mining Rate accumulates over time (long-standing Nodes have an advantage over new ones); Anchor Nodes at level 3 with 100+ directly referred Nodes have the option to join Network Revenue Sharing — receiving a liquid USDT/bank transfer revenue stream in exchange for 40% Mining Rate; the Buy-back reserve accumulates steadily, ready to activate at TGE.

***

**Phase 3 — Open Ecosystem and FC TGE**

When three conditions are met: FC has real utility Users actively use, revenue has reached sufficient scale, and network density has reached a level where virtual machines cannot outperform real Nodes. Third-party API access opens; specialized sub-networks are developed (for example, a job-matching platform where a User's Node serves as a verified credential through Peer Meet history, and FC functions as the settlement currency); FC TGE proceeds on immutable commitments — no one on the team has the authority to shorten the process for market reasons or short-term pressure.

**What Users gain:** Nodes become verifiable digital assets with history and provable value, usable across multiple sub-networks; FC has broad liquidity and utility; Users who joined from Phase 1 benefit from accumulated advantage (the longest-standing Nodes, the highest Mining Rates, the most stable FC).

***

**Cross-Cutting Principles**

* **First: No phase prioritizes one group of Users over another.** Every special benefit comes with a proportional contribution requirement.
* **Second: FC is the backbone at every phase.** No phase abandons FC. Every new product, sub-network, or business feature must have a clearly defined role for FC within it.

# Closing Statement

Unich Network is not the only blockchain network. Not the first social network. Not the first project to promise empowerment for participants.

What Unich Network has is **a set of self-imposed constraints consistent with core principles**. The User-Node-FC mechanism forces the network to build real value for Users through Node upgrades — it cannot issue FC arbitrarily. The immutability of FC prevents the team from intervening in any User's balance or increasing FC issuance to support price. The 120% refund commitment with 10% penalty per missed tranche places direct financial risk on the founding team side of every deadline. Three-layer governance forces every future decision to remain consistent with the founding charter.

Users joining Unich Network do not need to blindly trust the founding team. Users should do the opposite: **hold the founding team accountable to what is written in this document**. Every commitment has a penalty attached. Every core principle cannot be changed. Every future decision must be consistent with the founding charter.

That is how a blockchain network contributes to human freedom: not by promising freedom, but by **binding itself to principles that make it incapable of taking that freedom from its Users**.

# Settlement Rules

Settlement Time: 24 hours from the moment of TGE. We will count down when the project lists its token on the first exchange.

## Success in Perform Settlement

<figure><img src="/files/LJHS1ZQevQ3ZFTqgtph1" alt=""><figcaption></figcaption></figure>

***Seller:***&#x20;

* Must transfer tokens before the settlement deadline.
* Upon completion of the transaction, the seller receives back their collateral and the buyer's settlement funds.

***Buyer:***&#x20;

* Must continue to deposit the remaining payment into the contract to complete the transaction.
* Upon completion of the transaction, the buyer receives tokens from the seller.

## Failure to Perform Settlement

**If&#x20;*****the seller*****&#x20;does not perform the settlement:**&#x20;

* The seller will lose all collateral.
* The buyer will receive back the collateral and compensation equal to the buyer's collateral amount, after deducting the transaction fees for both parties.

The asset the buyer receives = 2 × Buyer's collateral - 4% × Buyer's trading volume.

# Introduction

Unich's new product - your next profit move!

## What is Unich Pre-Order OTC?

Pre-Order OTC allows users to pre-buy or pre-sell tokens at any desired price, within a specific time window during the day.

Basically, it functions as a tool similar to Futures, Margin, or Spot trading, enabling users to own, go long, or short tokens to profit from future price movements.

However, Pre-Order OTC offers several advantages over traditional Futures, Margin, or Spot trading:

## Why should you trade with Pre-Order OTC?

**Maximize profits**

Unich Pre-Order OTC helps you increase profits through natural leverage. By collateralizing only 5% of the trade volume, you can fully benefit from token price movements, as if you own the whole position.

Depending on the case, you can achieve %ROI = 100% or higher, and complete the trade to realize profits within the same day.

**Minimize risks**

When the market moves against your expectations, you can limit losses to the collateralized amount, providing better risk control.

The trade outcome depends only on token price at the Settlement Time, and price fluctuations before this point are irrelevant. Eliminate the fear of asset liquidation!

**Freedom to set prices**

You can proactively set pre-buy or pre-sell orders for tokens at any price, unbound by the market price at the time of trading, unlike Spot trading.

**Support for diverse tokens**

Pre-Order OTC applies to all listed tokens, offering opportunities to access promising assets early, even before they become widely known.

# How to Trade

Currently, Unich operates two Pre-Order OTC trading sessions each day, running consecutively. Each session lasts 12 hours.

<figure><img src="/files/9nkW9Btpk0gYsTGR5BCU" alt=""><figcaption><p>The timeline of Unich Pre-Order OTC.</p></figcaption></figure>

Session Details:

**Session 1: (UTC)**

* Trading Time: 00:00 - 11:59
* Settlement Time: 14:00 - 14:30

**Session 2: (UTC)**

* Trading Time: 12:00 - 23:59
* Settlement Time: 2:00 - 2:30 (next day)

Pay close attention to these timeframes to optimize your trading strategy!

# Trading Time

During the Trading Time, you can freely use USDC as collateral to open buy/sell orders for a token at any price.

## Opening an order

Depending on your preference, you can act as a Maker or Taker:

Makers can open buy or sell orders at their desired price. Takers match existing orders on the order book.

Notes: You only need to collateralize 5% of the trade volume to open or match an order.\
\
For example: To buy 1 $SOL at $100, you only need to collateralize $5.

<figure><img src="/files/AKledNTbNv59AApqOdzM" alt=""><figcaption></figcaption></figure>

## As a buyer

To place a buy order, you pay a small fee plus collateral equivalent to 5% of the trade volume. Once your buy order is matched with a seller, you must wait until the Settlement Time to send the remaining 95% of the trade volume to the platform. Meanwhile, the seller must send the committed tokens. If the seller fails to deliver tokens on time, you receive their entire collateral as compensation.

## As a seller

To place a sell order, you pay a small fee plus collateral equivalent to 5% of the trade volume. Once your sell order is matched with a buyer, you must prepare to send the committed tokens during the Settlement Time. Upon delivering the tokens, you receive the buyer’s payment and recover your collateral.

# Settlement Time

The Settlement Time is when you and your counterparty must complete the matched order from each session.

Only the token price at the start of Settlement Time determines your profit, represented as %ROI for each matched order.

**%ROI = (%Price Change/5%) x 100%**\
\
Specifically:

**%Price Change = (Settlement Price - Match Price)/Match Price x 100%**

**Settlement Price:** Token price at the start of Settlement Time.

**Match Price:** Token price when the buy and sell orders are matched.

<figure><img src="/files/jCVzvxwLhRQ5o8JlPvkl" alt=""><figcaption></figcaption></figure>

## If you are in profit

* *Case 1: 0% < %ROI < 100%*

Send the remaining 95% of the trade volume (if a buyer) or the committed tokens (if a seller) to finalize the trade.

If you fail to settle, your entire collateral is transferred to the counterparty, and vice versa.\
\
If both parties fail to settle, each party’s collateral is refunded.

* *Case 2: %ROI > +100%*

Your profit depends on whether the counterparty settles.

If they settle, they lose more than their initial collateral, and you receive the full %ROI (> +100%).

If they do not settle, they lose only their initial collateral, and you receive a %ROI = 100%.

## If you are at a loss

* *Case 1: -100% < %ROI < 0%*

Send the remaining 95% of the trade volume (if a buyer) or the committed tokens (if a seller) to finalize the trade.

If you fail to settle, your entire collateral is transferred to the counterparty, and the opposite happens as well.

If both parties fail to settle, each party’s collateral is refunded.

* *Case 2: %ROI < -100%*

Your loss depends on whether you settle.

If you settle, you lose more than their initial collateral, and your counterparty receives the full %ROI (> +100%).

If you do not settle, you lose only your initial collateral, and your counterparty receives a %ROI = 100%.

# Example and Concepts

To better understand Unich Pre-Order OTC, let's examine a trade involving the $UN token between Bob and Alice.

## Trading Time

During the Trading Time of Session 1, Bob believes the price of $UN will rise in the coming hours and places a buy order for 100 $UN tokens (at a UN/USDC rate of 1).

Bob's Trade Details:

* **Order Type:** Buy
* **Token Amount:** 100 $UN
* **Price:** 1 USDC
* **Trading Volume:** 100 x 1 = 100 USDC

Collateral required from Bob to open a buy order: 100 x 5% = 5 USDC (Unich Pre-Order OTC requires only 5% of the trade volume as collateral).

Conversely, Alice believes the price of $UN will fall and decides to act as a seller, matching Bob's buy order.

Alice's Trade Details:

* **Order Type:** Sell
* **Token Amount:** 100 $UN
* **Price:** 1 USDC
* **Trading Volume:** 100 x 1= 100 USDC

Collateral required from Alice to fulfill Bob’s buy order: 100 x 5% = 5 USDC.

<figure><img src="/files/HiSQV9APAnZxFa6fXTRr" alt=""><figcaption></figcaption></figure>

## Settlement Time

Bob and Alice wait until 14:00 to settle the trade. (As their order was matched during Session 1, so the Settlement Time will be at 14:00 - 14:30 UTC).

The price of $UN at the start of the Settlement Time determines the trade outcome.

Price fluctuations before this point are irrelevant, so Bob and Alice do not face liquidation risks from short-term market volatility.

* *Case 1: $0.95 < $UN < $1.05*

%ROI for both parties will ranges between: -100% < %ROI < +100%

Since Bob and Alice matched at $UN = 1 USDC.

Bob (Buyer) profits if $1 < $UN < $1.05 (price increases).\
Alice (Seller) profits if $0.95 < $UN < $1 (price decreases).

Both have 30 minutes to settle.

Bob sends the remaining 95 USDC and receives 100 $UN.

Alice sends 100 $UN, recovers her 5 USDC collateral, and receives Bob's 100 USDC payment.

* *Case 2: $UN < $0.95*

Bob's %ROI will be in the range: < -100%

Alice's %ROI will be in the range: > +100%

If Bob settles, he loses more than his 5 USDC collateral, and Alice receives the full %ROI (> +100%).

If Bob does not settle, he loses only his 5 USDC collateral, which is transferred to Alice, resulting in Alice receiving a %ROI = 100%.

* *Case 3: $UN > $1.05*

Bob's %ROI will display in the range: > +100%

Alice's %ROI will display in the range: < -100%\
\
If Alice settles, sheloses more than her 5 USDC collateral, and Bob receives the full %ROI (> +100%).\
\
If Alice does not settle, she loses only her 5 USDC collateral, which is transferred to Bob, resulting in Bob receiving a %ROI = 100%.

# Cashout Order

Cashout Order is a feature that allows you to exit a pre-order trading position and withdraw your collateral by swapping it with another user.

Cashout Order becomes available once the buyer's and seller's orders have been matched.

## Cashout Order rules

Currently, Cashout Order feature on Unich Pre-Order OTC allows both buyers and sellers to exit their positions - only if they withdraw the full collateral for each order and the cashout price is equal to the original matched order price.

Cashout Order is only available during 12-hour Trading Time.

<figure><img src="/files/z9nA5B1yFq4XE0g9djAF" alt=""><figcaption></figcaption></figure>

## Cashout Order example

Here's a clearer example of Bob’s Cashout Order:

Previously, Bob (Buyer 1) and Alice (Seller 1) matched a pre-order trade with a volume of 100 USDC.

Bob's Trade Details:

* **Order Type:** Buy
* **Token Amount:** 100 $UN
* **Price:** 1 USDC
* **Trading volume:** 100 x 1 = 100 USDC
* **Collateral:** 5 USDC (5% of trade volume)

Normally, Bob would wait until Settlement Time to complete the trade. But for some reason, he wants to exit early - so he uses the Cashout Order feature.

The system now creates a sell order for Bob’s position, making him a seller. This new order appears on the Order Book with the same token amount and price as the original order.

**Bob's Cashout Order:**

* **Order Type:** Cashout Sell
* **Token Amount:** 100 $UN
* **Price:** 1 USDC
* **Trading Volume:** 100 USDC
* **Collateral:** 5 USDC

After that, Sam (Buyer 2) matches Bob's cashout order. Bob gets back his collateral, and Sam takes over Bob's position - continuing the obligation to Alice.

<figure><img src="/files/aYb0XvbiJRjwDo6awPvO" alt=""><figcaption></figcaption></figure>

Result: Bob exits early and receives 100% of his collateral (minus a trading fee of 0.125% of the trade volume).

Similarly, if Alice (Seller 1) wants to cash out, the system will automatically sell her position and create a new buy order on the Order Book. The process is the same as above.<br>

*Note: No fees are charged for Cashout Orders on Unich Pre-Order OTC. The 0.125% fee based on trade volume is deducted from the previous matched order.*

At launch, Unich Pre-Order OTC only supports SOL/USDC pair. More pairs will be added soon.

## Opening a Trade Order

### Step 1: Setup an open order

You can place buy or sell orders at any price and amount, with the system automatically calculating the collateral needed for your open order.

You only need to collateralize 5% of the trade volume.

<div data-full-width="false"><figure><img src="/files/y4OVxu2kXbq8IOn0vyCu" alt=""><figcaption><p>Collateral will be automatically calculated.</p></figcaption></figure></div>

### Step 2: Confirm collateral to open order

After hitting the Buy/Sell button and confirming the collateral, a popup will notify you that your order has been successfully opened.

Your open order will then show up on the Order Book.

Note: *Make sure you have enough gas fees in your Web3 wallet to complete this step.*

<figure><img src="/files/IBA0IHElIoVpIT84EeQY" alt=""><figcaption><p>Trading interface after your order is successfully opened!</p></figcaption></figure>

You can cancel any open orders that haven't been matched. These orders will move to 'Order History' tab.

### Step 3: Identify the trading session

After opening your order, check the timeline in the top-right corner to see the trading session you just joined.

<figure><img src="/files/MkPqWzVfU2YrFw9I15bs" alt=""><figcaption><p>The timeline helps you track the Trading Time and Settlement Time of each order.</p></figcaption></figure>

Each day, Unich Pre-Order OTC has 2 trading sessions, each lasting 12 hours, in UTC time.

Orange represents Session 1 (00:00 - 11:59).\
\
Blue represents Session 2 (12:00 - 23:59).

When your order is matched in a session, remember the next Settlement Time to make timely payments. Forgetting to settle may result in losing your collateral.

<figure><img src="/files/ZCAv1WYymw6l8wnHgNeC" alt=""><figcaption><p>Track the Settlement Time to complete your orders on time.</p></figcaption></figure>

Settlement Time (Session 1): 14:00 - 14:30 UTC daily.

Settlement Time (Session 2): 02:00 - 02:30 UTC daily.

Remember this!

## Settle a Matched Order

### Step 1: Manage a matched order

A matched order will move to 'Order History' tab on your order tracking panel.

If your order is partially matched, the remaining volume will stay as an open order in 'Open Order' tab.

<figure><img src="/files/nr8lbDmnQKsTFvp5PAxz" alt=""><figcaption><p>'Order History' tab helps you manage the matched orders.</p></figcaption></figure>

In 'Order History' tab, you can cash out an order (during Trading Time) or settle it (during Settlement Time).

### Step 2: Settle a matched order

At Settlement Time, the Settle button for each matched order will become active, giving you the option to proceed or not.

<figure><img src="/files/wRi7B0rpGojjKcWgTUQW" alt=""><figcaption><p>You have the choice to settle or not.</p></figcaption></figure>

If you settle, depending on whether you're the buyer or seller, you'll either need to deposit the remaining 95% collateral or deliver the committed tokens.

If you don't settle, your initial collateral will be forfeited to the counterparty.

*Note: Your profit is determined by the difference between the token price at Settlement Time and the matched order price.*\
\
*Check the 'Example and Concepts' section for a clearer understanding and to make the best decision.*

> As a Taker, you can match existing orders.&#x20;
>
> Both Maker and Taker deposit collateral to ensure compliance with the trade.

## **What is collateral in Pre-Order OTC trading?**

> When opening an order or matching available orders on the Order Book, you need to deposit a certain amount of assets on the exchange as collateral.
>
> Unich only requires users to collateralize 5% of the trade volume.

## **How is PNL calculated in Unich Pre-Order OTC?**

> PNL for both buyer and seller when pre-order transaction is calculated by the formula:
>
> **PNL = Collateral x %ROI.**&#x20;
>
> In which:
>
> Collateral = 5% x Trading Volume
>
> %ROI = (%Price Change/5%) x 100%\
> \
> Specifically:
>
> %Price Change = (Settlement Price - Match Price)/Match Price x 100%
>
> Settlement Price: Token price at the start of Settlement Time.
>
> Match Price: Token price when the buy and sell orders are matched.
>
> Theoretically, %ROI can range from -∞ to +∞.

## What should i do if my %ROI drop below -100%

> If %ROI falls below -100%, the price movement exceeds your initial collateral. Your actual loss depends on whether you settle.
>
> If you settle, you lose more than your collateral, and your counterparty receives the full %ROI (> +100%).
>
> If you do not settle, you lose only your collateral, and your counterparty receives a %ROI = 100%.
>
> Note that trade outcomes are determined only at the start of Settlement Time. A %ROI below -100% before this point does not affect your final profit or loss.

## Why is my %ROI calculated to be over +100%, but i sometime only receive 100%?

> If your %ROI exceeds +100%, your counterparty’s %ROI is below -100%.
>
> As explained in question 7, your counterparty now has 2 options:
>
> If they settle, they lose more than their initial collateral, and you receive the full %ROI (> +100%).
>
> If they do not settle, they lose only their collateral, and you receive a %ROI = 100%.

## Why is there a 2-hour gap between Trading Time and Settlement Time?

> Pre-Order OTC allows you to place buy or sell orders at any price. However, only the token price at the start of Settlement Time determines the trade outcome.&#x20;
>
> The 2-hour gap ensures price movements are less predictable, promoting fairness for all investors, regardless of when they place orders during the 12-hour Trading Time.

## Can i trade in a new session if i haven't completed orders from the previous session?

> Yes! A new session begins immediately after the previous session’s Trading Time ends.
>
> You can place new trades but must track the Settlement Time to complete prior trades.
>
> In many cases, if you fail to settle, you will lose your entire initial collateral to your counterparty.

## How are Pre-Order OTC transaction fees calculated?

> Unich does not charge fees for opening or canceling unmatched orders.
>
> When orders are matched and the trade moves to Settlement Time, both buyers and sellers pay a fee equivalent to 0.125% of the trade volume.
>
> Specifically: V (Trade volume) = P x A\
> P: Token price at the time of order matching.\
> A: Number of tokens in the trade.

## Can i cancel an order after it has been matched?

> No, matched orders cannot be canceled. You can either use the Cashout Order feature to transfer your position to another trader, or wait until Settlement Time to complete the trade.

# Introduction

## Introduction to Point-Market

Point-Market is a marketplace for trading Points of projects before their TGE (Token Generation Event) or those that have not yet been listed. The trend of Protocol Points is on the rise, where projects that have not released tokens use a Point system to measure user contributions. These Points can be exchanged for tokens once the project is listed, allowing users to trade and invest before the project's launch.

Participating in this market enables investors to access potential projects early before they are listed on exchanges. Investing in Points before they convert to tokens allows you to capture early trends in the cryptocurrency market.

## What is Unich Point-Market OTC?

Unich Point-Market OTC is an advanced OTC trading platform that allows the trading of Points from projects before their TGE, and these Points can be converted into tokens after the TGE. With a P2P solution supporting smart contracts, this platform ensures security, safety, and fairness without the need for third-party intervention.

## How Unich Point-Market OTC Works

Users can trade Points before they are converted into tokens during the TGE, by connecting their Web3 wallets and participating in trades from anywhere. New projects can list tokens on the platform without requiring permission.

## What makes Unich Point-Market different?

**Early Access**

Investors have the opportunity to trade tokens before TGE (Token Generation Event) by simply having the official website information of the project, allowing them to get ahead and capitalize on the latest investment trends.

**No Asset Lock-Up**

Through the cashout feature exclusive to the Unich OTC Trading Platform, Point-Market trading does not require asset lock-up; participants can exit their positions and reclaim their collateral at any time.

**Flexible Trading**

Unich OTC allows for P2P (peer-to-peer) trading, enabling users to negotiate prices and trading conditions flexibly, without being bound by market listing prices.

**Listing New Coins**

Unich Point-Market OTC allows projects to list their coins even before launch. All that’s required is the official website information of the project creating the coin. This is the breakthrough that Unich Point-Market OTC brings, you do not need to "directly contact/own that coin" to trade.

**Price Discovery**

By allowing peer-to-peer trading, Unich Point-Market supports an efficient price discovery process, enabling users to determine the optimal price for their transactions.

**Low Transaction Fees**

Unich's platform commits to providing extremely competitive transaction fees of only 2% on each trading contract, which is the lowest in the current market. This helps minimize costs for investors participating in OTC transactions.

**High Security**

Unich has passed audits by top security experts and organizations worldwide, ensuring that transactions and assets are safe and convenient.

**Liquidity**

The platform has the best liquidity in the Point Market, enabling buyers and sellers to execute transactions smoothly and securely.

# P2P Trading

\
Users can trade Points before they are converted into tokens during the TGE, by connecting their Web3 wallets and participating in trades from anywhere. New projects can list tokens on the platform without requiring permission.

## What is Unich Point-market OTC Peer-to-peer (P2P) Trading?

Buyers and sellers can interact directly on the platform, setting their preferred prices and trade quantities. Point-Market trading on the Unich platform is executed through blockchain-based smart contracts, ensuring transparency, security, safety, and fairness for both buyers and sellers.

By using a Web3 Wallet to connect with Unich Point-Market OTC, you can trade from anywhere with the same access point right at Unich, providing an unprecedented level of convenience and privacy for both buyers and sellers.

## How does Unich Point-market OTC Peer-to-peer (P2P) Trading work?

**Order Placement**

Makers can create buy or sell orders on the platform at their desired prices, while takers can match available market orders with the amount of money they wish to trade.

<figure><img src="/files/bhHyjK0MTLL6yPICBQUE" alt=""><figcaption></figcaption></figure>

**As a buyer:**&#x20;

To place a buy order, you need to pay a transaction fee along with a 50% payment amount based on your order value. Once your order is matched with a seller, you wait for the settlement period to provide the remaining 50% of the margin and for the seller to deliver the full amount of the committed points at the Settle Time. If the seller fails to deliver the points on time, you will receive the seller’s entire margin as compensation and get back your collateral.

**As a seller:**

To place a sell order, you need to pay a transaction fee and provide a 50% margin for the order. When your order is matched with a buyer, prepare to deliver points within the settlement period. Upon successful delivery of points, you will receive the payment from the buyer and have your collateral returned.

# Trading Terms

## Trading Volume

Trading volume refers to the total transaction volume in a seller's or buyer's order, calculated using the formula: ***V = P×A***

P: is the price of Point

A: is the number of Points to buy

## Collateral

To place an order, both the buyer and the seller need to deposit collateral into the smart contract, which initiates the transaction.

<figure><img src="/files/xobt67pusDydWBP0JNtY" alt=""><figcaption></figcaption></figure>

For Unich Pre-Market OTC, the formula to calculate the Collateral (the amount of collateral) that the buyer or seller needs to commit to executing a transaction is: ***Collateral = ½ Trading Volume***

* Trading volume: V = P×A
* V: Trading volume
* P: Transaction price
* A: The number of Points to buy

The buyer provides the remaining 50% of the margin. The seller will deliver the full amount of the committed tokens at the Settle Time.

*Examples:*&#x20;

The buyer executes a transaction to purchase 100 $UN tokens. (With the UN/USDC exchange rate being 2 on the Solana network).

<figure><img src="/files/HVgfkSApZvskChZTwvDI" alt=""><figcaption></figcaption></figure>

At that time, the Buyer places an order with details as follows:&#x20;

* **Order Type:** Buy
* **Token Name:** UN
* **Network:** Solana
* **Token amount:** 100 $UN
* **Price:** 2 USDC
* **Volume:** 100 × 2= 200 USDC

The amount the Buyer needs to collateralize to create the order is: 200 × ½= 100 USDC

Similarly, for the Seller matching with pool already available on the market.

At that time, the Seller matches with the Buyer as follows:&#x20;

* **Order Type:** Sell
* **Token Name:** UN
* **Network:** Solana
* **Token amount:** 100 $UN
* **Price:** 2 USDC
* **Volume:** 100 × 2= 200 USDC

The amount the Seller needs to collateralize to match the order is: $200 × ½ = 100 USDC

***Notes:*** However, the system will prioritize finding and matching orders with the best available prices, allowing the seller to sell fewer tokens and the buyer to purchase more tokens.

## Match Order

**Full Order Matching** occurs when both the buyer and seller match the entire trading volume of the order.

**Partial Order Matching** occurs when both the buyer and seller match only part of the trading volume of the order.

Examples: the buyer is selling 100 UN Points at a price of $2. An order currently available on the market is waiting to be matched with a volume of $200.

* **Order Type:** Sell
* **Token Name:** UN
* **Network:** Solana
* **Point amount:** 100 UN Points
* **Price:** 2 USDC
* **Volume:** 100 × 2= 200 USDC
* **Collateral:** 100 USDC

<figure><img src="/files/LqhVOJ6pdmy8OMQc7kci" alt=""><figcaption></figcaption></figure>

Buyer 1 can partially match the above trade with 5 UN Points, equivalent to Volume: $10

* **Order Type:** Buy
* **Token Name:** UN
* **Network:** Solana
* **Point amount:** 100 UN Points
* **Price:** 2 USDC
* **Volume:** 5 × 2= 10 USDC
* **Collateral:** 5 USDC

Buyers 2, 3, ... n will continue matching orders until the entire order of the seller is filled.

Matched orders will change to a **filled status**, and the settlement process will begin at the time of the Token Generation Event (TGE).

## Credit

The formula for calculating Credit when an order is filled is: **Credit = M**

*M is the number of Points matched for a trading pair.*

## Cancel Order

Buyers and sellers can cancel their listed orders if they have not yet been matched. For matched orders, users can utilize the Cashout function. Read more about Cashout for detailed descriptions.

# Bid Order

## What is Unich Point-Market OTC Bid Order?

While a Trade Order allows buyers or sellers to place orders at their desired price and volume, which are then posted on Unich Point-Market OTC's Order Book, a Bid Order enables buyers or sellers to place an order with their desired price and volume.

The Bid Order will then be matched by the system with available orders on the market that are on the opposite side of the Bid Order.

<figure><img src="/files/LY8uJvfu3IaLCJYpYiU7" alt=""><figcaption></figcaption></figure>

The system will create a Bid Buy Order and send offers to all available buy orders on the market for the Buyer. The system prioritizes the best price that all buyers are offering.

***Notes:***

* The party accepting the Bid Offer will prioritize the best match available on the market. Therefore, the order of the party accepting the offer will have its price adjusted.
* Bid Offers will not be sent to Cashout Orders on the Order Book since Cashout Orders do not have price fluctuations.

# Cashout Order

A **cashout order is** a function that allows a user to exit a Pre-Market/Point-Market trading position and withdraw part or all of the collateral by swapping that position with another user at any time.

The Cashout feature becomes available when the buyer's and seller's trades have been matched.

<figure><img src="/files/JCx2eQuwvYyUQBixlhJZ" alt=""><figcaption></figcaption></figure>

**The actual value of cashout assets** = **R×C−| \[V2−V1×R] |**

In which:

* *C is The initial Collateral*
* *V1 is The Initial Trading Volume*
* *V2 is The Cashout Volume*
* *R is The ratio of Credit being cashed out, relative to the total Credit held for a specific trading pair.*

Unich Point-Market Rules: The Cashout function allows both buyers and sellers to exit their positions and withdraw part or all of the collateral, under the condition that they accept receiving back an amount equal to or less than the original collateral, as they are forfeiting their commitment early.

*The rationale is that by exiting the position, you are backing out of the contractual agreement between the buyer and seller. Therefore, you must accept either breaking even or incurring a loss on the investment made when exiting your position before the payment settlement occurs.*

*Learn more about Point-Market Cashout Order* [***\[here\]***](/pre-market-otc/cashout-order)

# Settlement Rules

**Settlement Time:** At the time of the Token Generation Event (TGE), the number of Points will be converted into the corresponding tokens. Payments occur within 24 hours from the time of the TGE. We will count down when the project lists its token on the first exchange.

## Success in Perform Settlement

Both parties must perform the settlement to complete the order.

<figure><img src="/files/Kn8l7MxPE293oADsFmPK" alt=""><figcaption></figcaption></figure>

**Seller:**&#x20;

* Tokens must be transferred before the settlement deadline at the conversion rate corresponding to the number of Points.
* Upon completion of the transaction, the seller receives back their collateral and the buyer's settlement funds.

**Buyer:**&#x20;

* Must continue to deposit the remaining payment into the contract to complete the transaction.
* When the transaction is complete, the buyer receives tokens from the seller corresponding to the number of Points.

## Failure to Perform Settlement

**If&#x20;*****the seller*****&#x20;does not perform the settlement:**&#x20;

* The seller will lose all collateral.
* The buyer will receive back the collateral and compensation equal to the buyer's collateral amount, after deducting the transaction fees for both parties.

The asset the buyer receives = 2 × Buyer's collateral - 4% × Buyer's trading volume.

<figure><img src="/files/IlC6z67VTie63ZQqrt9r" alt=""><figcaption></figcaption></figure>

**If&#x20;*****the buyer*****&#x20;does not perform the settlement:**&#x20;

* The buyer will lose all collateral.
* The seller will receive back the collateral and compensation equal to the seller's collateral amount, after deducting the transaction fees for both parties.

The asset the seller receives = 2 × Seller's collateral - 4% × Seller's trading volume

<figure><img src="/files/N6h1rCwc88NIsZRFJj0R" alt=""><figcaption></figcaption></figure>

**If both&#x20;*****the buyer*****&#x20;and&#x20;*****the seller*****&#x20;fail to perform the settlement:**&#x20;

* #### Both the buyer and the seller will receive their collateral back.
* The buyer receives: Collateral - 2% transaction fee - 0.5% refund fee
* The seller receives: Collateral - 2% transaction fee - 0.5% refund fee

<figure><img src="/files/GZg0QBKoSBKBSdTT6aDR" alt=""><figcaption></figcaption></figure>

Notes: If the token listing schedule is delayed or canceled, please refer to our FAQs.

# Platform Fee

## Fee Calculation Rules

* No listing or delisting fees for unmatched transactions.
* A fee is charged to the seller immediately after the Order is **filled**. The buyer will incur the fee after the settlement phase. The collected fees are transferred to the Unich Treasury.
* A **2% fee** on the total volume of the pool when both parties participate in the settlement. (Including both project tokens and collateral)
* A **0.5% fee** on the volume for the party executing the Cashout.
* A **4% fee** on the volume for the party that has settled when the other party does not settle.
* A refund **fee of 2.5%** on the total volume of the pool for orders that were matched but both parties withdrew from the pool during the settlement phase.

## Calculation Formulas

* For filled orders where both parties settle:

  &#x20;                                            ***Fee = 2% × Transaction Volume***
* For filled orders where only one party settles (calculated based on the collateral):

  &#x20;                                            ***Fee = 4% × Transaction Volume*** (Buyer + Seller)
* For transactions where both the buyer and seller fail to settle (calculated based on collateral assets):\
  &#x20;                                            ***Fee = 2.5% × Transaction Volume***
* For Cashout orders (calculated based on the collateral):

  &#x20;                                            ***Fee = 2.5% × Transaction Volume***

# Introduction

P2P Options OTC Trading for Digital Assets

OTC derivatives trading, such as options, enhances asset accessibility with high trading volumes and low slippage without requiring direct asset ownership. However, current OTC derivatives trades are typically managed and operated directly by traditional trading institutions or centralized exchanges, leading to limitations in transparency, reliability, and complex procedures that hinder investor participation.

Unich recognizes these issues and has revolutionized OTC derivatives trading by offering P2P options trading on the OTC market through Smart Contract integration. Unich's solution enables fast, secure, and transparent transactions between buyers and sellers, eliminating the need for third-party intermediaries.

# Security Measures

Security Layers

Security is the foundation of Unich OTC Wallet. We prioritize protecting your digital assets and personal information with cutting-edge security protocols. Here’s how we ensure your safety:

**1. End-to-End Encryption**

* Data Protection: At Unich OTC Wallet, we understand the importance of keeping your data secure. That's why we use end-to-end encryption for all communications between users and our platform. This means that your data is encrypted from the moment it leaves your device until it reaches its destination. Whether you’re sending tokens, browsing DApps, or simply logging in, your information is protected every step of the way. End-to-end encryption ensures that even if data is intercepted, it cannot be read or tampered with by unauthorized parties. This level of security is essential in the decentralized world, where privacy is paramount.
* Confidentiality: By encrypting all data transmissions, we safeguard your personal and financial information against prying eyes. Only you and the intended recipient have access to the information being exchanged, making it nearly impossible for hackers or malicious actors to intercept or manipulate your data. This guarantees the confidentiality of your transactions and interactions within the Unich OTC Wallet ecosystem, reinforcing your trust in our platform.

**2. Multi-Factor Authentication (MFA)**

* Enhanced Security: Unich OTC Wallet offers Multi-Factor Authentication (MFA) as an additional security layer to protect your account. With MFA, accessing your wallet requires not just a password but also a second form of verification, such as a one-time code sent to your mobile device or generated by an authenticator app. This dual-step verification process ensures that even if your password is compromised, unauthorized users won’t be able to access your account without the second verification factor.
* User Control: Enabling MFA is simple and puts you in control of your account’s security. It adds a significant barrier against unauthorized access, making it much harder for cybercriminals to breach your account. By requiring multiple forms of authentication, we help protect your assets from phishing attacks, keylogging, and other forms of digital threats. MFA is a key component of our commitment to providing a secure environment for your digital assets.

**3. Regular Security Audits**

* Continuous Monitoring: To ensure that Unich OTC Wallet remains resilient against potential threats, we conduct regular security audits. These audits are carried out by both our internal security team and independent external experts. By systematically reviewing our code, infrastructure, and security protocols, we identify and address vulnerabilities before they can be exploited. Regular audits also help us stay compliant with industry standards and best practices, ensuring that our platform remains at the forefront of security in the blockchain space.
* Proactive Risk Management: Security audits aren’t just about fixing issues; they’re about preventing them from happening in the first place. By proactively identifying weaknesses, we can implement protective measures to mitigate risks before they become a threat. This ongoing commitment to security helps us maintain a robust and trustworthy platform where users can manage their digital assets with confidence.

**4. Secure Backup and Recovery**

* Data Integrity: Unich OTC Wallet provides secure backup and recovery options to ensure that you never lose access to your assets. We offer a straightforward backup process where users can safely store their recovery phrases—a series of words that can be used to restore access to their wallet in case of device loss or failure. This recovery phrase is the key to your account, so we provide clear instructions on how to store it securely, such as using a hardware device or writing it down and keeping it in a safe place.

User Empowerment: The backup and recovery feature is designed to give you peace of mind. In the unfortunate event that your device is lost, stolen, or damaged, you can quickly restore your wallet using your recovery phrase. This ensures that your assets remain safe and accessible, no matter what happens to your physical device. By empowering users with secure backup and recovery options, we help you maintain control over your digital assets even in challenging situations.

Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the Company's providers make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
